This Franklin/Hendo fight is tough to call. I think Hendo is the better fighter and could easy control him on the ground, has better stand up, and an iron chin...but Franklin is no fucking slouch. I think he is incredibly underrated.
Rich has only ever lost to two fighters, Lyoto Machida and Anderson Silva. So has everyone else, more or less. But Dan is a major test for him. I'll be surprised if this fight doesn't go to a decision. Split decision, even. For who, I don't know... is Cecil Peoples judging?
I think Dan will out work Franklin to either a Decision victory or be able to control him with his wrestling and eventually end up getting a G'n'P KO. If they end up trading shots though, there is always the chance that he could land one of those major OHR or that left hook. If I were Dan, I would try to get the fight on the inside and just dirty box my way to victory. Franklin is more precise with his striking, I wonder if he can keep Dan on the outside and try to pick him apart.
Rich recently fought two big strong wrestlers in Yushin Okami @ middleweight and Matt Hamill @ light heavyweight. Granted, Hamill didn't try to wrestle him, to his own detriment, but in both cases Rich was able to dominate. I don't think facing a wrestler bothers him. I agree with you when you say you think Hendo will try to clinch, though. I can see Dan clinching if Rich's leg kicks and long jabs start to bother him, or if he thinks he's getting out-pointed. I don't see Dan earning a stoppage, however, because he really doesn't work for stoppages anymore.
